Welcome to MetroRide.
These Terms & Conditions (“Terms”) govern your access to and use of the MetroRide platform, including the MetroRide Passenger application, MetroRide Driver application, website, technology platform, APIs and related transportation and mobility services.
By creating an account, accessing the MetroRide Platform, requesting or accepting a ride, or otherwise using any MetroRide service, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not use MetroRide.
1. ABOUT METRORIDE
MetroRide is a technology platform operated by Metroride Logistics Nigeria Limited that facilitates connections between passengers, drivers and fleet operators for transportation and related mobility services.
Unless expressly stated otherwise, MetroRide provides the technology platform and does not itself necessarily provide the transportation service performed by an independent Driver.
Transportation services may be provided by Drivers or Fleet Operators using the MetroRide Platform.

2. DEFINITIONS
For purposes of these Terms:
“MetroRide,” “we,” “us,” or “our” means Metroride Logistics Nigeria Limited and, where applicable, its authorized affiliates, representatives or operating entities.
“App” means the MetroRide mobile applications, including the Passenger App and Driver App.
“Passenger” means a person who uses MetroRide to request or receive transportation services.
“Driver” means an individual approved to provide transportation services through MetroRide.
“Fleet Operator” means a person or organization managing one or more vehicles or Drivers through MetroRide.
“Ride” means a transportation trip requested, accepted or completed through the MetroRide Platform.
“Platform” means the MetroRide applications, website, APIs, software, systems, databases and related technology.
“Fare” means the amount payable for a Ride or other MetroRide service.
“Account” means a registered MetroRide user account.
3. ELIGIBILITY
To use MetroRide, you must:
- Provide accurate and complete information;
- Have the legal capacity to enter into the relevant agreement;
- Comply with applicable laws and regulations;
- Maintain the security of your Account;
- Not impersonate another person;
- Not use MetroRide for unlawful purposes;
- Comply with these Terms; and
- Meet any additional eligibility requirements applicable to your user category.
Additional requirements may apply to Drivers and Fleet Operators, including identity, licensing, vehicle, insurance and regulatory verification.
MetroRide may refuse, restrict, suspend or terminate access where permitted by applicable law if eligibility requirements are not satisfied.
4. ACCOUNT REGISTRATION AND SECURITY
You may be required to create an Account before using certain MetroRide services.
You agree to:
- Provide truthful, accurate and current information;
- Keep your information updated;
- Protect your login credentials;
- Not share your Account with another person;
- Not sell, transfer or lease your Account;
- Notify MetroRide promptly of suspected unauthorized access; and
- Accept responsibility for activity conducted through your Account, except where caused by MetroRide's fault or otherwise required by law.
MetroRide may require telephone, email, OTP, identity or other verification.
MetroRide may refuse verification or restrict an Account where information provided is inaccurate, incomplete, fraudulent or cannot reasonably be verified.
5. PASSENGER TERMS
Passengers may use MetroRide to request transportation services from available Drivers.
When requesting a Ride, you agree to provide accurate:
- Pickup information;
- Destination information;
- Contact information; and
- Other information reasonably necessary to complete the Ride.
Passengers should be ready at the pickup location at the applicable time.
Passengers must treat Drivers, other passengers, MetroRide employees, representatives and support personnel respectfully.
6. DRIVER TERMS
Drivers must:
- Provide accurate personal and vehicle information;
- Maintain all licences, permits and approvals required by law;
- Maintain valid insurance where legally required;
- Operate vehicles safely;
- Maintain vehicles in safe operating condition;
- Follow applicable traffic and transportation laws;
- Complete MetroRide's required verification procedures;
- Not allow unauthorized persons to use their Driver Account;
- Not provide false trip information;
- Not manipulate fares or trip records;
- Not engage in fraudulent activity;
- Not use MetroRide for unlawful purposes; and
- Comply with applicable MetroRide safety and operational requirements.
MetroRide may request updated Driver or vehicle documentation at any time where reasonably necessary.
7. DRIVER INDEPENDENCE
Unless expressly agreed otherwise in writing, Drivers are independent service providers and are not employees of MetroRide merely because they use the Platform.
Drivers are responsible for:
- Their vehicles;
- Their operating expenses;
- Applicable taxes;
- Licences and permits;
- Insurance;
- Compliance with transportation laws; and
- Their conduct while providing transportation services.
Nothing in these Terms creates an employment relationship, partnership, agency or joint venture between MetroRide and a Driver unless expressly agreed in writing or required by applicable law.
8. RIDE REQUESTS
A Passenger may request a Ride through the App.
A Ride request may be:
- Accepted;
- Declined;
- Cancelled;
- Reassigned; or
- Allowed to expire.
A Ride is generally considered accepted when the MetroRide system indicates that a Driver has accepted the request.
MetroRide does not guarantee that a Driver will always be available.
9. PICKUP AND DESTINATION
Passengers must provide accurate pickup and destination information.
If a Passenger changes the destination during a Ride, the Fare may change accordingly.
Drivers must not intentionally take unreasonable routes for the purpose of increasing a Fare.
A route may reasonably change because of:
- Traffic;
- Road closures;
- Safety concerns;
- Construction;
- Weather;
- Passenger instructions; or
- Other legitimate circumstances.
Where a route changes for a legitimate reason, the resulting Fare may reflect the additional distance or time.
10. FARES AND PRICING
Before or during a Ride, the App may display an estimated or applicable Fare.
Depending on the service, the final Fare may be affected by:
- Distance;
- Duration;
- Waiting time;
- Route;
- Tolls;
- Applicable taxes;
- Service charges;
- Cancellation charges;
- Promotions or discounts; and
- Changes to the requested trip.
MetroRide may update its pricing structure from time to time.
Where legally required, applicable charges will be disclosed before or at the relevant point in the booking process.
11. PAYMENTS
Passengers are responsible for paying applicable Fares and charges.
MetroRide may support payment methods including:
- Cash;
- Card;
- Bank or electronic payment;
- Wallet balance; or
- Other payment methods made available through the Platform.
Payment options may vary by location and service.
Payments may be processed directly by MetroRide or through third-party payment processors.
You authorize MetroRide or its authorized payment processor to process applicable charges associated with your use of the service.
12. REFUNDS AND PAYMENT DISPUTES
Where applicable, a Passenger may request a refund or Fare review where:
- A duplicate charge occurred;
- A technical error resulted in an incorrect charge;
- An unauthorized transaction is identified;
- A Ride was cancelled under circumstances qualifying for a refund; or
- Another legitimate billing error occurred.
Refunds are subject to verification and applicable MetroRide policies.
MetroRide may investigate disputed transactions before issuing a refund.
Nothing in this section limits rights that cannot legally be excluded.
13. DRIVER PAYOUTS
Drivers may receive earnings for eligible completed Rides according to the applicable MetroRide Driver payment arrangement.
MetroRide may deduct or account for:
- Applicable platform charges;
- Taxes where applicable;
- Refunds;
- Adjustments;
- Chargebacks;
- Promotions or discounts where the Driver arrangement provides for them; and
- Other authorized deductions.
The applicable Driver payout structure may be communicated through the Driver App, Driver agreement or official MetroRide communication.
14. CANCELLATIONS
Passengers and Drivers may cancel Rides subject to applicable MetroRide cancellation rules.
A cancellation fee may apply where:
- A Driver has already accepted a Ride;
- A Driver has travelled toward the pickup location;
- A Passenger fails to appear;
- A cancellation occurs after a specified period; or
- Other circumstances described in the applicable cancellation policy apply.
MetroRide may waive a cancellation fee where circumstances reasonably justify doing so.
15. NO-SHOWS
A Passenger may be treated as a no-show where a Driver arrives at the designated pickup location, follows the applicable waiting procedure and the Passenger cannot be located.
A no-show fee may apply where disclosed by MetroRide.
Drivers must not falsely report Passengers as no-shows.
16. PROHIBITED PASSENGER CONDUCT
Passengers must not:
- Threaten, abuse or harass Drivers;
- Damage vehicles;
- Carry prohibited or unlawful items;
- Use MetroRide for unlawful purposes;
- Attempt to evade payment;
- Manipulate the application;
- Provide false information;
- Create fraudulent Accounts;
- Share another person's Account without authorization;
- Intentionally damage MetroRide property;
- Engage in discriminatory or abusive conduct; or
- Engage in conduct creating an unreasonable safety risk.
17. PROHIBITED DRIVER CONDUCT
Drivers must not:
- Drive dangerously or while impaired;
- Harass, threaten or abuse Passengers;
- Unlawfully discriminate against Passengers;
- Manipulate GPS or trip information;
- Manipulate Fares;
- Complete fraudulent trips;
- Request unauthorized payment arrangements to evade MetroRide charges;
- Share, sell or transfer Driver Accounts;
- Allow unauthorized persons to operate under their Account;
- Use false vehicle information;
- Refuse lawful safety requirements; or
- Use MetroRide for unlawful activities.
18. SAFETY
Safety is a fundamental MetroRide requirement.
Drivers and Passengers must comply with applicable safety laws and regulations.
Passengers should use seat belts where available and required.
Drivers must not operate a vehicle while:
- Intoxicated;
- Impaired by drugs;
- Excessively fatigued; or
- Otherwise unable to operate safely.
Users should report serious safety incidents to appropriate emergency services and MetroRide where appropriate.
MetroRide may suspend or restrict Accounts while investigating safety complaints.
19. EMERGENCIES
MetroRide is not a replacement for emergency services.
If you experience an emergency, contact the appropriate emergency service immediately.
MetroRide may cooperate with lawful investigations relating to serious incidents.
Where technically and legally appropriate, MetroRide may provide relevant information to competent authorities.
20. RATINGS AND REVIEWS
MetroRide may allow Passengers and Drivers to rate one another.
Ratings and reviews should be honest and based on genuine experiences.
Users must not:
- Manipulate ratings;
- Threaten another person to obtain a favorable rating;
- Post knowingly false information;
- Use ratings to harass another person; or
- Create fraudulent Accounts to manipulate ratings.
MetroRide may remove content that violates these Terms or applicable law.
21. COMMUNICATIONS
MetroRide may facilitate communication between Passengers, Drivers and support personnel through:
- In-app messaging;
- Push notifications;
- SMS;
- Email;
- Telephone communication; or
- Other approved communication channels.
Communications must be used only for legitimate MetroRide purposes.
Users must not use contact information obtained through MetroRide to harass, threaten, spam or pursue another user outside the legitimate purpose of the service.
22. PRIVACY
Your use of MetroRide is also governed by our Privacy Policy.

23. ACCOUNT SUSPENSION AND TERMINATION
MetroRide may suspend, restrict or terminate an Account where reasonably necessary, including where:
- These Terms are violated;
- Fraud is suspected;
- Safety concerns arise;
- False information is provided;
- The Account is used unlawfully;
- Payment obligations are not met;
- A user abuses or threatens another person;
- Platform security is threatened;
- A user repeatedly violates applicable policies; or
- Suspension or termination is required by law or lawful authority.
Where appropriate and legally permissible, MetroRide may provide notice or an opportunity to resolve the issue.
24. ACCOUNT DELETION
Users may request deletion of their MetroRide Account.
Account deletion may be initiated through:

Users may also contact MetroRide support where the account-deletion facility is unavailable.
Deletion does not necessarily require immediate deletion of every record associated with an Account.
MetroRide may retain information where required or reasonably necessary for:
- Legal compliance;
- Tax and accounting obligations;
- Fraud prevention;
- Security;
- Dispute resolution;
- Enforcement of agreements;
- Regulatory requirements; or
- Other legitimate purposes permitted by law.
25. INTELLECTUAL PROPERTY
The MetroRide Platform, including its:
- Software;
- Application design;
- Logos;
- Trademarks;
- Branding;
- Text;
- Graphics;
- User interfaces;
- Databases;
- Documentation; and
- Other MetroRide-owned content
is owned by or licensed to MetroRide unless otherwise stated.
You may not copy, modify, distribute, reverse engineer, sell, lease or commercially exploit MetroRide technology or branding without written authorization, except where such restriction is prohibited by applicable law.
26. USER CONTENT
Where you submit information, photographs, reviews, messages or other content to MetroRide, you represent that:
- You have the right to provide the content;
- The content is not unlawful;
- The content does not infringe another person's rights; and
- The content does not contain malicious software.
You grant MetroRide a non-exclusive, worldwide, royalty-free licence to use, store, reproduce and display such content only to the extent reasonably necessary to:
- Operate the Platform;
- Provide MetroRide services;
- Provide customer support;
- Maintain security;
- Investigate complaints;
- Improve MetroRide services; and
- Comply with legal obligations.
This licence does not transfer ownership of your underlying content to MetroRide.
MetroRide will not use a Passenger's or Driver's personal photograph for unrelated commercial advertising merely because it was submitted to the Platform, unless the user has provided appropriate authorization or the use is otherwise permitted by law.
27. THIRD-PARTY SERVICES
MetroRide may rely on third-party providers for:
- Maps;
- Navigation;
- Payments;
- SMS;
- Authentication;
- Push notifications;
- Cloud hosting;
- Analytics;
- Security;
- Communication; and
- Other technical services.
Third-party services may be subject to their own terms and privacy policies.
MetroRide is not responsible for the independent acts or omissions of third-party providers except to the extent responsibility cannot lawfully be excluded.
28. MAPS AND NAVIGATION
Maps and navigation are provided for convenience.
Drivers remain responsible for operating vehicles safely and complying with traffic laws.
Map information may be inaccurate, incomplete or temporarily unavailable.
Drivers must use reasonable judgment where road conditions, traffic, construction or safety concerns differ from information displayed by the application.
29. SERVICE AVAILABILITY
MetroRide aims to maintain reliable services but does not guarantee that the Platform will always be:
- Available;
- Error-free;
- Uninterrupted;
- Completely secure; or
- Free from technical defects.
Services may be temporarily unavailable because of:
- Maintenance;
- Network failures;
- Internet problems;
- Server issues;
- Third-party outages;
- Weather;
- Government action;
- Security incidents;
- Power failures; or
- Other circumstances outside MetroRide's reasonable control.
30. FORCE MAJEURE
MetroRide will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:
- Natural disasters;
- Flood;
- Fire;
- Epidemics or pandemics;
- War;
- Civil unrest;
- Government restrictions;
- Strikes;
- Telecommunications failures;
- Internet outages;
- Power failures;
- Cybersecurity incidents; or
- Failures of third-party service providers.
This clause does not exclude rights or obligations that cannot legally be excluded.
31. DISCLAIMER
MetroRide provides a technology platform intended to facilitate transportation services.
To the extent permitted by applicable law, MetroRide does not guarantee:
- That a particular Driver will accept a Ride;
- That a Passenger will always obtain a Ride;
- That estimated arrival times will always be accurate;
- That traffic or route information will always be accurate;
- That a Ride will occur at a particular time;
- That the Platform will always be available; or
- That every Driver or Passenger will behave appropriately.
Nothing in these Terms excludes liability that cannot legally be excluded.
32. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, MetroRide will not be liable for indirect, incidental, special or consequential losses arising from use of the Platform.
Nothing in these Terms is intended to exclude or limit liability for:
- Fraud;
- Death or personal injury caused by negligence where such liability cannot legally be excluded;
- Willful misconduct;
- Breach of statutory rights that cannot legally be excluded; or
- Any other liability that applicable law does not permit a party to exclude.
Where liability may legally be limited, any limitation will apply only to the extent permitted by law.
33. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold MetroRide harmless from claims, losses, liabilities, damages, costs or expenses arising from:
- Your unlawful use of the Platform;
- Your violation of these Terms;
- Your fraudulent activity;
- Your infringement of another person's rights;
- Damage caused by your conduct; or
- Your violation of applicable law.
This provision does not apply to the extent a claim resulted from MetroRide's own unlawful conduct or liability that cannot legally be transferred.
34. DISPUTES BETWEEN PASSENGERS AND DRIVERS
Where a dispute arises between a Passenger and Driver, the parties should first attempt to resolve the matter through MetroRide support.
MetroRide may:
- Receive complaints;
- Review relevant trip information;
- Request supporting evidence;
- Communicate with the parties;
- Facilitate communication;
- Take action against Platform users where appropriate; and
- Recommend further lawful dispute-resolution options.
MetroRide is not necessarily a party to every dispute between a Passenger and Driver.
Nothing in this section prevents a user from exercising rights available under applicable law.
35. COMPLAINTS AND CUSTOMER SUPPORT
Questions, complaints, safety concerns, account issues and other service-related matters may be submitted through the MetroRide App or by contacting:

When submitting a complaint, provide sufficient information to enable MetroRide to identify the relevant Account, Ride, transaction or incident.
36. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, except where applicable mandatory law provides otherwise.
37. JURISDICTION AND DISPUTE RESOLUTION
Subject to applicable law and any mandatory dispute-resolution rights, disputes relating to these Terms should first be raised with MetroRide for internal review.
Where a dispute cannot reasonably be resolved through internal review, the parties may consider lawful alternative dispute-resolution mechanisms, including mediation, before commencing court proceedings where appropriate.
Where court proceedings are necessary, the dispute shall be submitted to a competent court in Nigeria having jurisdiction over the matter.
Nothing in this section prevents a party from seeking urgent or legally available relief from a competent court.
38. CHANGES TO THESE TERMS
MetroRide may update these Terms from time to time.
Where changes are material, MetroRide may provide notice through the App, website, email, notification or another appropriate communication method.
The “Last Updated” date at the beginning of these Terms indicates when the Terms were most recently revised.
Your continued use of MetroRide after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
39. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
The affected provision shall, where legally possible, be interpreted or modified to the minimum extent necessary to make it lawful and enforceable.
40. NO WAIVER
Failure by MetroRide to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.
41. ENTIRE AGREEMENT
These Terms, together with the MetroRide Privacy Policy and any additional terms expressly applicable to a particular service, constitute the agreement governing your use of the MetroRide Platform.
Additional Driver, Fleet, payment, promotion or service-specific terms may apply where communicated to you.

43. ACCEPTANCE
By creating a MetroRide Account, requesting a Ride, accepting a Ride, providing transportation services through MetroRide, or otherwise using the Platform, you confirm that you have read, understood and agreed to these Terms & Conditions.
If you do not agree with these Terms, you must discontinue use of the MetroRide Platform.
